Terms of Service

01 Scope of Services

Tabala Digital Solutions provides digital transformation services, including but not limited to:

• Web Development: Custom design, development, and maintenance of digital assets.
• Growth Marketing: SEO, Google Ads management, and social media strategy.
• Consultancy: Digital audit, strategy formulation, and brand positioning.

Specific deliverables and timelines will be defined in individual Service Level Agreements (SLAs) or Quote Contracts.

02 Intellectual Property Rights

We respect the value of creative ownership. Our IP policy is as follows:

• Client Ownership: Upon full payment, the client owns the copyright to all final visual designs and specific content created specifically for their project.
• Agency Retainment: Tabala Digital retains the right to use the work for portfolio, self-promotion, and professional recognition.
• Background Technology: We retain ownership of all underlying code libraries, frameworks, and "Background Technology" used to create the deliverables.

03 Payment Terms

To ensure project momentum and resource allocation:

• Deposit: A non-refundable deposit (typically 50-70%) is required to commence work.
• Balance: The remaining balance is due upon project completion or as per the agreed milestone schedule.
• Late Fees: Invoices overdue by more than 14 days may incur a late fee of 5% per week.

04 Limitation of Liability

In no event shall Tabala Digital Solutions, nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of our services (or inability to access/use).
• Any unauthorized access to our servers and/or any personal info stored therein.
• Any interruptions or cessation of transmission to or from our services.

05 Governing Law

These Terms shall be governed and construed in accordance with the laws of The Republic of Kenya, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

06 Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease.
